Public-facing | Effective: 22 September 2026 | Operator: Adstim LLC (Wyoming)
Publication note: replace every bracketed placeholder before launch. This draft must be aligned with the actual product configuration and reviewed by qualified counsel in the jurisdictions where Crewelo launches.
1. United States — business users
Business-user contracts are governed by Wyoming law except where mandatory law requires otherwise. Providers are independent businesses. Crewelo’s payment model must be implemented consistently with the Stripe Connect configuration described in these documents.
2. United States — arbitration addendum (optional counsel-reviewed clause)
For U.S. users only, Adstim LLC may elect to publish a binding individual arbitration and class-action-waiver clause after counsel confirms the clause, arbitration administrator, fee allocation, mass-arbitration procedure, small-claims carveout, and 30-day opt-out process. This draft intentionally does not auto-insert a binding arbitration clause because enforceability and consumer-disclosure requirements are sensitive to wording, state law, and product flow. Until such a clause is adopted, the governing-law/forum provisions in the Global Terms apply subject to mandatory consumer rights.
3. European Union / EEA
Crewelo should implement, before EU marketplace launch: a DSA-compliant contact point; any required EU legal representative if Crewelo lacks an EU establishment and the DSA requires one; clear content restrictions and moderation procedures in the Terms; electronic notice-and-action reporting for illegal content; trader traceability collection for Providers where applicable; display of required trader information; ranking and paid-placement disclosures; and business-user restriction/suspension/termination procedures consistent with applicable Platform-to-Business requirements.
Where consumers conclude distance contracts with Providers, the Provider remains responsible for mandatory pre-contract information, withdrawal/cancellation rights, pricing disclosures, statutory guarantees, and sector-specific consumer law applicable to the underlying service.
4. United Kingdom
Crewelo must comply with applicable UK privacy, consumer, electronic-marketing, platform, and online-safety rules to the extent they apply to its specific service configuration. The Privacy Policy preserves UK data-subject rights. A UK representative should be appointed and disclosed if legally required based on Crewelo’s establishment and processing.
5. Canada
Crewelo should provide meaningful privacy information and consent choices, maintain an accountable privacy contact, and assess provincial private-sector privacy laws in provinces where Crewelo operates. Providers remain responsible for local licensing, consumer-protection, and electronic-marketing obligations for their own business communications.
6. Australia
Crewelo should assess whether Adstim LLC is an APP entity based on applicable nexus/turnover rules and should maintain the privacy policy, complaint channel, direct-marketing controls, cross-border disclosure controls, and future automated-decision disclosures required by Australian law where applicable. Providers must comply with Australian Consumer Law guarantees and sector licensing rules for the services they provide.
7. Philippines
Crewelo should appoint and publish the appropriate privacy contact/Data Protection Officer information, assess NPC registration or notification obligations, maintain data-subject rights procedures, and align cross-border processing/security/breach workflows with the Data Privacy Act and NPC issuances. Providers operating in the Philippines remain responsible for business permits, professional licensing, consumer law, tax, and their own direct-marketing practices.
8. Switzerland
Crewelo should provide transparent privacy disclosures, cross-border safeguards, data-subject request handling, and any representative/contact information required by the Swiss Federal Act on Data Protection for the actual launch model. Swiss mandatory consumer and contract rules are preserved.
